Terms and Conditions

This Affiliate Programme Agreement (“Agreement”) is entered into between H2=E Hydrogen Therapy (“H2=E,” “we,” “us,” or “our”), a business based in the United Kingdom, and the individual or entity participating in our Affiliate Programme (“Affiliate,” “you,” or “your”).

By applying for or participating in the H2=E Affiliate Programme, you confirm that you have read, understood and agreed to the following terms and conditions.

1. Purpose of This Agreement

The purpose of this Agreement is to establish the terms under which Affiliates may promote H2=E Hydrogen Therapy products and receive commission for eligible sales generated through their unique affiliate code.

3. Term and Termination

3.1 Commencement and duration

This Agreement begins on the date your application to participate in the Affiliate Programme is approved and will continue until terminated by either party.

3.2 Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

H2=E reserves the right to suspend or terminate an Affiliate’s participation immediately if the Affiliate breaches this Agreement, makes unauthorised health or product claims, acts unlawfully, misrepresents the H2=E brand or engages in conduct that may damage the reputation of H2=E.

3.3 Obligations following termination

Upon termination, you must immediately stop promoting H2=E products and remove all affiliate links, banners and promotional materials from your platforms.

You will remain entitled to commission on qualifying sales completed before the termination date, provided those sales comply with this Agreement and are not subsequently cancelled, returned, refunded or determined to be ineligible.

4. Commission and Payments

4.1 Commission rates

Commission will be paid on confirmed and eligible sales completed using the Affiliate’s unique affiliate code. Current commission rates are:

• Hydro Nova Pro 3000 ml: £275per qualifying sale
• Immortal 3000 ml: £250 per qualifying sale
• Hydro Nova 1500 ml: £225 per qualifying sale
• Hydro Nova 1200 ml: £175 per qualifying sale

Only one Affiliate may receive commission for each qualifying sale. The affiliate code recorded and accepted at the time of purchase will determine which Affiliate receives the commission.

4.2 Eligible sales

A sale will qualify for commission only when:

• The customer uses the Affiliate’s unique code when placing the order.
• H2=E has received the customer’s payment in full.
• The order has not been cancelled, returned, refunded, charged back or identified as fraudulent.
• The purchase complies with the terms of this Agreement.

H2=E will not be responsible for commission where an Affiliate’s code was not used or correctly applied at the time the order was placed.

4.3 Payment terms

Commission payments will be made at the end of the calendar month following the month in which the qualifying sale was completed. This payment period allows time for cancellations, returns and refunds to be processed.

No commission will be paid on purchases cancelled, returned or refunded before the commission payment date.

If a product is returned after the relevant commission has already been paid, the Affiliate will not be required to repay that commission, unless the sale involved fraud, misuse of the Affiliate Programme or a breach of this Agreement.

4.4 Payment method

Commission payments will be made by bank transfer using the payment details provided by the Affiliate.

The Affiliate is responsible for ensuring that their payment and contact information remains complete and accurate.

5. Affiliate Responsibilities

The Affiliate agrees to:

• Promote H2=E products honestly, responsibly and professionally.
• Follow all guidelines and reasonable instructions provided by H2=E.
• Use only marketing materials supplied or expressly authorised by H2=E.
• Ensure that all information provided about H2=E products is accurate and up to date.
• Avoid making unauthorised claims, guarantees or promises concerning H2=E products.
• Avoid making medical or health claims about H2=E products, including claims that a product can diagnose, treat, cure or prevent any disease or medical condition.
• Clearly disclose the affiliate relationship in every relevant promotion, in accordance with applicable advertising, consumer-protection and disclosure requirements.
• Avoid misleading, unlawful, offensive or deceptive marketing practices.
• Protect their affiliate code and refrain from allowing it to be used in an unauthorised or fraudulent manner.

Affiliates must not present themselves as employees, representatives, agents or authorised medical advisers of H2=E.

6. Customer Relationship and Support

Once a sale has been completed, the purchaser becomes a customer of H2=E.

The Affiliate acknowledges and agrees that:

• All communications, enquiries and issues concerning the purchased product—including delivery, operation, maintenance, returns, refunds, repairs and customer support—must be handled directly between the customer and H2=E.
• Affiliates are not authorised to act on behalf of H2=E or to provide technical, medical or product-related support, advice or guidance to customers.
• Affiliates must not make commitments, promises or guarantees on behalf of H2=E.
• If an Affiliate is contacted by a purchaser with a product-related question or concern, the Affiliate must direct the purchaser to contact H2=E directly.

7. Tax, Employment and Legal Obligations

7.1 Tax responsibilities

The Affiliate is solely responsible for declaring their commission income and reporting and paying any taxes, National Insurance contributions or other amounts that may apply to earnings received under this Agreement.

7.2 Independent contractor status

The Affiliate participates in the programme as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency or franchise between the Affiliate and H2=E.

The Affiliate has no authority to enter into agreements, accept obligations or make representations on behalf of H2=E.

8. Dispute Resolution and Governing Law

8.1 Informal resolution

If a dispute arises in connection with this Agreement, both parties agree to first attempt to resolve the matter informally through good-faith discussions.

8.2 Governing law and jurisdiction

This Agreement is governed by and interpreted in accordance with the laws of England and Wales.

Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Limitation of Liability

To the fullest extent permitted by law, H2=E will not be responsible for any indirect, incidental, special or consequential loss arising from participation in the Affiliate Programme, including any loss of income, profits, business opportunities, data or reputation.

H2=E’s total liability arising under or in connection with this Agreement will not exceed the total commission paid to the Affiliate during the 12 months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits any liability that cannot legally be excluded or limited under the laws of England and Wales.

10. Confidentiality

The Affiliate agrees to keep confidential any non-public commercial, financial, technical or business information shared by H2=E.

The Affiliate must not disclose confidential information to any third party or use it for any purpose other than participating in the Affiliate Programme without H2=E’s prior written consent, except where disclosure is required by law.

This obligation will continue after the termination of this Agreement.

11. Intellectual Property

All trademarks, business names, logos, images, content and promotional materials supplied by H2=E remain the property of H2=E or their respective owners.

The Affiliate is granted a limited, non-exclusive, non-transferable and revocable licence to use approved materials solely for the purpose of promoting H2=E products under this Agreement.

The Affiliate must not alter approved materials, register any domain name or social-media account containing the H2=E name, or use H2=E intellectual property for any unauthorised purpose without prior written consent.

This licence will end immediately upon termination of the Affiliate’s participation in the programme.

12. Amendments

H2=E reserves the right to update or amend this Agreement and the Affiliate Programme, including its commission rates, products and payment arrangements.

Affiliates will be notified of material changes by email or through the Affiliate platform. Unless otherwise stated, changes will apply from the effective date specified in the notice and will not retrospectively reduce commission already earned on qualifying sales.

Continued participation in the Affiliate Programme after the effective date of any changes will constitute acceptance of the updated terms.

13. Entire Agreement

This Agreement constitutes the entire agreement between the Affiliate and H2=E concerning participation in the Affiliate Programme. It supersedes all previous agreements, discussions, representations and communications relating to the programme, whether written or oral.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
